Locating in the UK - Forming a company

Forming a company in the UK could involve creating a new business or registering an existing overseas company.

The four types of company structure to consider are:

- private company - limited by shares

- private company - limited by guarantee

- private unlimited company

- public limited company (PLC)

You can handle the registration process yourself, but it is a good idea to seek professional advice before you do so to ensure that incorporation is right for you. A company formation agent, solicitor or accountant can carry out the process for you for a fee, as well as offer advice. See our guide on how to choose the right legal structure for your business.

Choosing a company name is important. Be objective and put the customer first to create the right impression. There are some words and expressions that you cannot use for a company name in the UK without official permission. You can find details about choosing and registering a company name on the Companies House website. There are also rules about how you must display your company name.

Registering an overseas company
If you decide to register an existing overseas company, you must register documents with Companies House if it:

- sets up a place of business in UK

- usually carries out business from a specific location in the UK

You should be aware that certain types of company cannot register as an overseas company in the UK. These include partnerships and unincorporated bodies. You can see guidance on how to register an overseas company on the Companies House website.

Regimes for registration
There are two options when registering an overseas company in the UK - registering as a branch or as a place of business.

The first applies when a branch is part of an overseas limited company, which carries out business through local agents in the UK. The second is when the business cannot be registered as a branch because it:

- is operating from within the UK (this includes Northern Ireland and Gibraltar)

- is not a limited company

- cannot be defined as a branch because of the kind of activities it carries out

How to register
Once you have set up a branch or place of business, you have one month to submit the necessary documents, forms and registration fee to the Registrar of Companies. You must also send in mortgage details, details of any charges in the UK and copies of your accounts. These are due within specified times.
